The Service is strictly for consumers and not for use by users under 18 years of age. A. Your Acceptance of the Terms of Use

Please carefully read these Terms of Use, which affect your legal rights and obligations. These Terms of Use tell you who we are, how we will provide you the Service, how you and we may change or end this contract, what to do if there is a problem and other important information.

By registering for a user account which enables you to use the Service (“Account”) and/or by posting online content, or otherwise using the Service, you represent that (1) you are aged 18 or older, and (2) you fully understand and agree to these Terms of Use.

Dramabar reserves the right to change or modify these Terms of Use from time to time. Unless we expressly provide a delayed effective date, these amendments will be immediately effective on the posting of such updated Terms of Use. If we make any significant adjustments to these Terms of Use that will impact on you, we will provide you with reasonable notice of the changes to the email address registered on your Account. In these circumstances you will have the opportunity to stop using the Service and/or cancel any subscription that will be affected by such change in the Terms of Use. Following the expiry of this notice your continued use of the Service and/or any subscription offered by Dramabar will constitute your acceptance of and agreement to such changes or modifications. Every time you wish to use our Service, please check the Terms of Use to ensure you understand what terms apply at that time. If you object to any change or modification, your sole recourse shall be to cease using the Service. YOU AGREE THAT Dramabar SHALL NOT BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY CHANGE OR MODIFICATION TO THESE TERMS OF USE.

Except as may be expressly specified otherwise by Dramabar with respect to paid portions of the Service, and subject to these Terms of Use, Dramabar reserves the right to add, change, suspend or discontinue the Service, or any aspect or feature of the Service, to reflect changes to our products, our users’ needs and/or our business priorities.

C. Relationship to Other Agreements

Your use of the Service or portions of the Service may also be subject to the terms and conditions of one or more related third-party agreements (“Third Party Agreements”), such as agreements governing your download of or access to applications that are part of the Service by means of a third-party website or source (e.g. Google; Apple). In the case of any conflict between any Third Party Agreement and these Terms of Use with respect to Dramabar or any aspect of the Service, these Terms of Use will control.

D. User Accounts

By creating an Account, you represent and warrant that you have all requisite capacity, power, and authority to enter into, and perform your obligations under these Terms. Upon registering an Account with us you may also be required to provide information about yourself in order to use the Service. You agree to: (i) provide true, accurate, current and complete information about yourself as prompted by the Service and (ii) maintain and promptly update such data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, incomplete or not current, you are deemed to be in breach of these Terms of Use, and Dramabar has the right to suspend or terminate your Account and refuse any and all current or future use of the Service by you.

Each user of the Service is allowed a maximum of one Account per electronic device embedding a mobile operating system (“Device”). You may not sell, trade, or otherwise transfer or assign your Account to another party, except as expressly provided herein. You are responsible for maintaining the confidentiality of your password and Account and agree not to provide your login information to any other party. You are fully responsible for all activities that occur under your password or Account with or without your knowledge. You agree to immediately notify Dramabar of any unauthorized use of your password or Account or any other breach of security.

We may require you to provide additional information and documents at the request of any competent authority or in order to help us comply with applicable law, regulation, or policy.

E. Rights to Use the Service; Subscriptions

Right to Use

Subject to your complete and ongoing compliance with these Terms of Use, Dramabar hereby grants you a limited, revocable, non-exclusive, non-transferable, non-assignable, non-sublicensable license to use and display, solely for your personal, non-commercial use, solely on a single Device: (a) such portions of the Service as are freely accessible from the Site or that are, with Dramabar’s authorization, made freely accessible from third party websites or sources such as the mobile application; and (b) provided that you have paid the applicable fees and satisfied applicable conditions, such other portions of the Service accessible on a for-payment basis. This license does not include any right to:

 Sell, resell, or use commercially the Service;

 Modify or otherwise make derivative uses of the Service, or any portion thereof;

 Broadcast, display or make available any content provided as part of the Service to the public via electronic transmission;

 Use any data mining, robots, or similar data gathering or extraction methods;

 Download (other than page caching) any portion of the Service except as expressly permitted by us; or

 Use the Service other than for its intended purpose.

Subscriptions

You may be required to make payments to access certain portions of the Service that are provided as subscriptions. Prior to entering into a subscription, the length of the subscription, its auto-renewal terms (including cancellation rights) and its payment terms will be shared by us with you. You are responsible for all such payments and related payment obligations under these Terms of Use. All such payments from you are subject to these Terms of Use and conditions of the relevant payment service. Dramabar bears no responsibility for any transactions processed by, or any payments made to, a third party. You acknowledge that pricing and availability of subscriptions provided by Dramabar in connection with the Service are subject to change at any time. Any changes will be handled by us in accordance with Section A of these Terms of Use.

Dramabar may from time to time make available payment methods to you for automatic, recurring or subscription-based charges. Where Dramabar does so, you agree that (subject to applicable laws and regulations): (i) such purchases or payments are generally made by you on an advance basis; (ii) you authorize Dramabar to save your chosen payment method’s information (for example, credit card information) on our systems and bill your chosen payment method for the relevant time periods specified to you upon your agreement to enter into the subscription; (iii) if any payment made via your chosen payment method is rejected, denied or returned unpaid for any reason, Dramabar may not provide you with, or suspend our provision of, the relevant content until payment is properly processed; and you are liable to us for any fees, costs, expenses or other amounts we incur arising from such rejection, denial or return (and we may automatically charge you for such amounts).

You agree that once you have provided your agreement during the checkout process to our immediate provision of the subscription, any payments you make to Dramabar in relation to your subscriptions are final and non-refundable, except where specified under these Terms of Use. OTHERWISE, IN NO CIRCUMSTANCES SHALL Dramabar BE REQUIRED TO PROVIDE A REFUND FOR ANY PAYMENTS MADE BY YOU TO US IN RELATION TO THE SERVICE (WHETHER USED OR UNUSED).

We will send you a renewal reminder of your subscription by email once every six months from the date your subscription started. Your renewal reminder email will be shared with you at least [three (3) working days] prior to the sixth monthly date that we will bill your payment method (and every sixth monthly billing date after this) to remind you of your subscription.

You are entitled to cancel your subscription at any time, by: (a) logging in to your Account and accessing your subscriptions; or (b) notifying us in writing to the following email address [[email protected]]. Once you cancel your subscription you will not be charged for any further renewal payments and your subscription will terminate at the end of the relevant billing period which you last paid for. For the avoidance of doubt, you must submit your request to cancel the subscription on or before the day prior to the applicable billing date. If you submit your request to cancel the subscription on the applicable billing date, you will be charged for your subscription up to the next billing date.

If you believe that Dramabar has charged you in error, and subject to applicable laws and regulations, please contact Dramabar at [[email protected]] as soon as possible.

Payment processing services are provided by third-party services through which a purchase is made. All purchases may be subject to taxes and other fees, including, without limitation, foreign exchange fees or differences in prices based on location.

Transferring your Account

When using our mobile application, you may transfer your Account or portions of the Service from one Device to another only as expressly authorized and enabled by Dramabar through the Service. You will be allowed to transfer the Service to a new Device so long as you are the owner of both the old and new Devices and the Account being transferred.

No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Dramabar or its licensors, except for the licenses and rights expressly granted in these Terms of Use. Without limiting the generality of this Section E, Dramabar reserves the right to modify the license and restrictions set forth in this section and elsewhere in these Terms of Use in accordance with these terms and conditions, including without limitation by charging fees for such license.

Communications

By creating an Account, you consent to receive electronic communications from us (e.g., via email, SMS text, or by posting notices to the Service). These communications may include notices about your Account (e.g., password changes and other transactional information) and are part of your existing relationship with us. You agree that any notices, agreements, disclosures or other communications that we send to you electronically will satisfy any legal communication requirements, including, but not limited to, that such communications be in writing. You should maintain copies of electronic communications from us by printing a paper copy or saving an electronic copy. We have no obligation to store for your later use or access any such electronic communications that we make to you. We may also send you promotional communications via email and/or SMS text, including, but not limited to, newsletters, special offers, surveys, customer service, and marketing messages, and other news and information we think will be of interest to you. You may opt out of receiving these communications at any time by following the unsubscribe or opt out instructions provided therein.

F. Service Materials, Ownership, Trademarks and Feedback

Service Materials

Except for Your Content (as defined below) and except as otherwise expressly set forth in these Terms of Use, Dramabar and its licensors own and will retain ownership of all right, title and interest in and to the Service and the Service Materials.

“Service Materials” means all information and materials that are part of the Service, including without limitation the following: photographs; graphics; layout; text; images; audio; video; designs; advertising copy; data; logos; domain names; trademarks, service marks, trade names and other source identifiers; any and all copyrightable material, including software; the “look and feel” of the Service or portions thereof; the compilation, assembly and arrangement of the materials of the Service or portions thereof; and User Content.

You acknowledge and agree that you shall not acquire any ownership rights whatsoever by downloading Service Materials or by purchasing any Virtual Currency or Virtual Goods (each as defined below). You acknowledge and agree that the Service Materials are protected by, and their use, copying and dissemination may be restricted by, applicable intellectual property and other laws in both the United States and other jurisdictions. All rights not expressly granted by these Terms of Use are reserved by Dramabar and its licensors, and no license is granted hereunder by estoppel, implication or otherwise. You agree not to encumber, license, modify, publish, copy, sell, transfer, transmit or in any way exploit, any portion of the Service or Service Materials other than Your Content (as defined below), nor will you attempt to do so, except as expressly permitted in writing by Dramabar and, as applicable, the owner of such Service Materials (from whom you are solely responsible for obtaining permission).

Dramabar Marks

The term “[Your Company Name]”, the Dramabar logo and other [Your Company Name] logos and product and service names are trademarks and service marks of, and are owned by, Dramabar (the “Dramabar Marks”). Except as expressly set forth herein, you may not use or display such trademarks in any manner without Dramabar’s prior written permission. All third-party trademarks and service marks appearing on the Service are the property of their respective owners. All rights are reserved therein. Use of any Dramabar trademarks or service marks as “metatags” on other websites is prohibited.

You may not use the Dramabar Marks to disparage Dramabar and its services. You may not use the same in any manner that may damage any goodwill in the Dramabar Marks. All goodwill generated from the use of the Dramabar Marks will inure solely to Dramabar’s benefit.

Feedback

If you provide Dramabar with comments, suggestions or feedback about, or in connection with, the Service (collectively, “Feedback”), you agree that such Feedback shall be the exclusive property of Dramabar, and you hereby assign all rights, title and interest in and to such Feedback to Dramabar. You agree that unless otherwise prohibited by law, Dramabar may use, sell, disclose and otherwise exploit the Feedback in any way and for any purpose, without restriction and without compensation to you.

G. User Content

The Service may invite or enable you and other users to create, submit, post, display, transmit, perform, publish or distribute communications, content and materials (including without limitation text, writings, photographs, graphics, images, comments, personally identifiable information and so forth), including by making the foregoing available to Dramabar and other users of the Service, whether via e-mail or through online forums, message boards, messaging services, blogs or other functionality of the Service or portions thereof (collectively, “User Content”). Dramabar may but has no obligation to accept, display, review, maintain or otherwise exploit any User Content. You understand that all User Content available in connection with the Service is the sole responsibility of the person from whom such User Content originated. Dramabar reserves the right to but has no obligation to pre-screen, review, examine, evaluate or otherwise monitor any User Content for accuracy, completeness, timeliness, validity, legality, decency, quality, integrity, usefulness or any other quality. Dramabar makes no, and hereby disclaims any and all, warranties or other guarantees with respect to User Content. You understand that your use of the Service is at your own risk and that by using the Service, you may be exposed to User Content that is offensive, indecent, objectionable or that does not otherwise meet your needs. You agree that you must evaluate, and bear all risks associated with, the use of any User Content available in connection with the Service. Under no circumstances will Dramabar be liable in any way for any User Content made available via the Service, including, but not limited to, any errors or omissions in any such User Content, or any loss or damage of any kind incurred as a result of the use of such User Content.

Notwithstanding the foregoing, Dramabar reserves the right in its sole discretion to pre-screen, review, monitor, refuse, remove from the Service, censor, edit, alter, delete, disable access to or otherwise make unavailable any User Content (including without limitation Your Content) without notice for any reason, including without limitation the violation of these Terms of Use, or for no reason, at any time. You may report User Content that you believe violates these Terms of Use, or other inappropriate user behavior to Dramabar’s attention by clicking on the “report” button next to the comment box or by contacting us through [[email protected]].

H. Your Content

User Content that you make available in connection with the Service is referred to herein as “Your Content.” You agree that Your Content is not confidential. You further agree that on termination of your Account, we may delete Your Content and will not be returning Your Content to you in a consolidated format.

You represent and warrant that Your Content is wholly original to you and that you exclusively own the rights to Your Content, including the right to grant all of the rights and licenses in these Terms of Use without Dramabar incurring any third party obligations or liability arising out of its exercise of such rights and licenses. You agree that Your Content will not contain material subject to copyright or other proprietary rights, unless you have necessary permission or are otherwise legally entitled to post the material and to grant the licenses described above.

Dramabar does not claim any ownership rights in Your Content and nothing in these Terms of Use will be deemed to restrict any rights that you may have to use and exploit Your Content.

For purposes of displaying your content on the Service, you hereby grant to Dramabar a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, (with the right to sublicense), to use, copy, distribute, license, transfer, publicly display, publicly perform, transmit, stream, broadcast and otherwise exploit Your Content via the Service or otherwise. You also grant to Dramabar the right to sublicense
